Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Pamirix Technologies LLC ("Pamirix," "we," "us," or "our") website located at pamirix.com (the "Site") and our dashboards, software, and related services (collectively, the "Services"). By accessing the Site or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of Services
Pamirix provides data dashboards, regulatory reporting tools, operational and HR software, websites, ticketing systems, and related custom software development and support services to Federally Qualified Health Centers and community health organizations, as further described in a separate order form, statement of work, or subscription agreement (an "Order").
3. Accounts and Access
You are responsible for maintaining the confidentiality of any login credentials issued to you or your organization and for all activity that occurs under those credentials. Notify us promptly of any unauthorized use.
4. Acceptable Use
You agree not to: (a) use the Services for any unlawful purpose; (b) attempt to gain unauthorized access to any Pamirix system or another customer's data; (c) interfere with or disrupt the integrity or performance of the Services; (d) reverse engineer or attempt to extract source code from the Services except as permitted by law; or (e) use the Services to transmit malicious code.
5. Fees and Payment
Fees for the Services are set out in the applicable Order or pricing plan. Unless otherwise agreed in writing, fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.
6. Customer Data
As between the parties, the Customer retains all rights to data it submits to or connects with the Services ("Customer Data"). Pamirix will use Customer Data solely to provide the Services and will not access or use Customer Data for any other purpose. Where Customer Data includes protected health information, the parties will execute a separate Business Associate Agreement governing that data.
7. Intellectual Property
Pamirix retains all right, title, and interest in and to the Services, including all underlying software, dashboards, templates, and documentation. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during the applicable subscription term.
8. Confidentiality
Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information of a similar nature, and not less than reasonable care, using such information only as necessary to perform its obligations under these Terms.
9. Warranties and Disclaimers
Pamirix will provide the Services in a professional and workmanlike manner. Except as expressly stated, the Services are provided "as is" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to these Terms or the Services. Each party's total liability arising out of these Terms will not exceed the amounts paid or payable by Customer to Pamirix in the twelve (12) months preceding the claim.
11. Indemnification
Each party will indemnify, defend, and hold harmless the other party from third-party claims arising from its breach of these Terms, gross negligence, or willful misconduct.
12. Term and Termination
These Terms remain in effect for as long as you use the Services or as specified in an applicable Order. Either party may terminate an Order as set out in that Order, including for uncured material breach. Upon termination, your right to access the Services will end, subject to any data export period specified in your Order.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles, unless otherwise specified in an applicable Order.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated effective date above, and continued use of the Services after changes take effect constitutes acceptance.
